Terms of Service

The deal between you and Arborly, in plain English. If anything here isn't clear, ask us.

1The short version

Arborly is job software for tree businesses. You pay for it monthly after a free trial, your data stays yours, and you can take it with you or delete it whenever you like.

Arborly helps you keep records. It doesn't run your business, check your safety or do your accounts, and you're responsible for all three.

2Who these terms are between

These terms are between Arborly ("we", "us") and the business that signs up ("you"). The person who signs up confirms they're allowed to agree to them for that business.

Arborly is for businesses. Because you're using it for business, the Consumer Guarantees Act 1993 doesn't apply, and sections 9, 12A and 13 of the Fair Trading Act 1986 don't apply either, to the extent the law allows. You agree it's fair and reasonable for both of us to be bound by that.

3Your account

Keep your login to yourself and tell us straight away if you think someone else has it.

You can add crew logins. You're responsible for who you give access to and what they do in the app.

4Trial and paying

New accounts get a free trial. When it ends, the app goes read-only until you pick a plan. You can still see everything, but you can't change anything.

Plans are billed monthly in New Zealand dollars through Stripe. Prices are on our website and at checkout. We'll give you at least 30 days' notice before a price goes up.

Cancel any time from Settings. You keep access until the end of the month you've paid for. We don't refund part-months.

If a payment fails, we'll let you know and the app may go read-only until it's sorted.

5Your data is yours

Everything you put into Arborly is yours: jobs, clients, quotes, crew records, photos. We only use it to run the app for you, and our Privacy Policy explains how.

You can download all of it from Settings at any time. If you close your account, you have 30 days to change your mind, then it's permanently deleted.

You're responsible for having the right to store what you upload, including your clients' details and photos of their property.

6Health and safety

Arborly's H&S features (hazard sheets, sign-ons, documents) are a log. They record what was shown and who signed. They aren't a safety management system and don't replace one.

You're the PCBU under the Health and Safety at Work Act 2015. Site safety, crew training, competence, gear and compliance are your responsibility, not ours. A signed record in Arborly doesn't mean the work was safe.

7Xero, Stripe and other services

If you connect Xero, you're responsible for checking what goes across. We send what you've entered; we don't check it's right, and we're not responsible for your accounts, tax or GST returns.

Payments are handled by Stripe. We never see or store your card details. Arborly isn't a financial services provider and nothing in the app is financial or tax advice. Talk to your accountant about that.

These services have their own terms, and when you use them through Arborly those terms apply too.

8Using Arborly fairly

Don't use Arborly for anything illegal, don't upload anything you don't have the right to, and don't try to break it, overload it or get into other businesses' data.

If you do, we can suspend or close your account. We'll tell you why unless the law or someone's safety says we shouldn't.

9Keeping it running

We work hard to keep Arborly available and your data safe and backed up, but we can't promise it'll never go down or never lose anything. Keep your own copies of anything critical. The Download my data button in Settings is there for that.

We'll keep improving the app, which sometimes means changing or removing features. If we remove something you rely on, we'll give you notice.

10Limits on our liability

To the extent the law allows, we're not liable for indirect losses (lost profits, lost jobs, lost data) or for anything caused by how you or your crew use the app.

Otherwise, our total liability to you for anything to do with Arborly is limited to what you've paid us in the 12 months before the problem.

Nothing in these terms limits anything the law says can't be limited.

11Ending things

You can close your account any time from Settings. We can close it with 30 days' notice, or straight away if you seriously breach these terms. Either way you'll get the chance to download your data first.

12Changes to these terms

If we change these terms, we'll show you what's changed in the app, and you'll need to agree before you carry on. If you don't agree, you can download your data and close your account.

13The law

These terms are governed by New Zealand law, and New Zealand courts deal with any dispute. If something goes wrong, talk to us first. Most things can be sorted with a phone call.
